Terms and Conditions

OneLedger Technology Inc. (“OneLedger”, “we”, “us” and terms of similar meaning) provides the Syndicate Bridge application (this application and any software provided by OneLedger for use with the application, “Syndicate Bridge” or “Application”), to you subject to these terms and conditions (these “Terms”).  In these Terms we describe users of Syndicate Bridge as “Users”.

Please read these Terms carefully before using Syndicate Bridge. By downloading, installing, accessing or otherwise using Syndicate Bridge you, or the entity on behalf of whom you are acting, agree to be legally bound by these Terms and all terms, policies and guidelines incorporated by reference in these Terms. If you do not agree with these Terms in their entirety, you may not use Syndicate Bridge.

OneLedger reserves the right to change or modify any of the terms and conditions contained in these Terms, or any license, policy or guideline of Syndicate Bridge, at any time and in its sole discretion. If we do so, we will post a conspicuous notice on Syndicate Bridge or on the Syndicate Bridge website (the “Site”). If you do not agree with the changes, please do not use Syndicate Bridge. Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revisions on Syndicate Bridge or the Site, and your continued use of Syndicate Bridge after such time will constitute your acceptance of such changes or modifications. You should from time to time review the Terms and any policies, documents and licenses (as applicable) incorporated in them to understand the terms and conditions that apply to your use of Syndicate Bridge.   1. Syndicate Bridge

Syndicate Bridge is blockchain-based software application that allows Users to interact with other chains.

  1. Privacy Policy

Please refer to OneLedgers’s privacy policy, available https://oneledger.io/privacy-policy (the “Privacy Policy”) for information.

  1. Eligibility to Use Syndicate Bridge

To be eligible to use Syndicate Bridge, you must be at least eighteen (18) years old, and are not a resident or domiciled in the United States, Canada, South Korea, the Public’s Republic of China, Barbados or other FATF countries including Ethopia, Iran, Iraq, North Korea, Serbia, Sri Lanka, Syria, Trinidad and Tobago, Tunisia, Vanuatu and Yemen. If you are using the Application on behalf of a legal entity, you further represent and warrant that: (a) the legal entity is duly organized and validly existing under applicable laws of the jurisdiction of its organization; and (b) you are duly authorized by such legal entity to act on its own behalf.

You may only use Syndicate Bridge if permitted under the applicable law in the jurisdiction in which you reside and that you meet any and all eligibility requirements, we communicate to you in these Terms. We reserve the right to change our eligibility requirements at any time. If any changes to the applicable law of your jurisdiction results in your use of Syndicate Bridge not complying with any laws, rules or regulations that apply to you, we reserve the right to terminate your use of, and access to Syndicate Bridge. By using Syndicate Bridge, you represent and warrant that you meet all eligibility requirements that we outline in these Terms.

  1. Fees and Taxes

We do not charge fees or any other charges for the access and use of Syndicate Bridge. However, we reserve the right to do so in the future, and in such case, any applicable fees will be displayed prior to you using any service to which a fee applies.

In order to complete certain transactions or make certain purchases on Syndicate Bridge, you may be required to pay fees to network validators as described on the Application (such fees are often referred to as “gas”). Gas fees are paid in supported cryptocurrencies. You must ensure that you have an adequate balance in your Wallet before initiating a transaction. You acknowledge that we will not be liable for any failed transactions.

Your use of Syndicate Bridge may result in tax obligations depending on the jurisdiction you are located in. You acknowledge that you are responsible for determining your tax obligations if any, that may apply to your activities on Syndicate Bridge. OneLedger shall not be liable to you for any tax obligations that may arise nor responsible for determining them.

     5. Proprietary Rights and Ownership

In these Terms, the content on Syndicate Bridge, including all information, data, logos, marks, designs, graphics, pictures, sound files, other files, and their selection and arrangement, is called “Content”.

Syndicate Bridge, all Content and all software available on Syndicate Bridgeor used to create and operate Syndicate Bridgeis the property of OneLedger or its licensors, and is protected by international copyright laws, and all rights to Syndicate Bridge, such Content and such software are expressly reserved. All trademarks, registered trademarks, product names and company names or logos mentioned in Syndicate Bridge are the property of their respective owners.

     6. License and License Restrictions

Subject to the license restrictions described herein, OneLedger grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Syndicate Bridge.

License Restrictions

Other than as expressly permitted in these Terms, and to the extent contrary by Applicable Law: you may not (a) make or distribute copies of the Application, Content; (b) alter, merge, adapt or translate the Application or Content, or decompile, reverse engineer, disassemble, or otherwise reduce the Application to a human-perceivable form; (c) sell, rent, lease, host or sublicense the Application; (d) modify the Application or create derivative works based upon the Application; (e) use the Services in a manner that breaches the rights of any third-party, any contract or legal duty or violate any Applicable Law; (f) copy the Services or any part, feature, function or user interface thereof; (g) access or use the Services in order to build a competitive product or service; (h) use the Services other than for its intended purposes; (i) remove or modify any copyright, trademark or other proprietary notices that have been placed in the Content; (j) impersonate any person or entity or provide false identifying information to improperly gain access to Syndicate Bridge; (k) use Syndicate Bridgein any manner that could damage, disable, overburden, impair, interfere with the security, functioning, or otherwise abuse of, Syndicate Bridge or any other services, system resources, accounts, servers, networks, affiliated or linked domains connected to or accessible through the Syndicate Bridge; (l) upload, post or otherwise transmit through Syndicate Bridge any computer viruses, Trojan horses, worms or other files or computer programs which are potentially harmful, disruptive or destructive or that may impair Syndicate Bridge’s infrastructure; (m) use Syndicate Bridge in a country or jurisdiction where (A) the use of digital wallets or (B) the possession, sending or transacting of cryptocurrencies is illegal; or (n) use Syndicate Bridge to engage in any illegal activities, including, but not limited to: money laundering, terrorist financing, pyramid schemes, illegal gambling or fraud.

      7. Additional User Representations

  1. In addition to your compliance with the license restrictions contained herein, by using Syndicate Bridge, you represent and warrant the following:
  2. You will ensure that your devices and use of Syndicate Bridge are free of viruses, malware, etc;
  3. You will ensure that all of your transactions are done with correct digital wallet addresses;
  4. You are not a resident or domiciled in the United States, Canada, South Korea, the Public’s Republic of China, Barbados or other FATF countries including Ethopia, Iran, Iraq, North Korea, Serbia, Sri Lanka, Syria, Trinidad and Tobago, Tunisia, Vanuatu and Yemen;
  5. You will obey all applicable laws in your jurisdiction.

      8. Blockchain and Cryptocurrency Risks

The OneLedger Blockchain is a decentralized, peer-to-peer network, supported by independent third parties. OneLedger may have no control over the OneLedger Blockchain and may not be able to confirm, cancel, modify, alter, reverse or otherwise affect any transaction that may be executed or attempted to be executed on the OneLedger Blockchain through the Application.

You acknowledge and represent that you understand how blockchains and cryptocurrencies function and that OneLedger has no liability to you in relation to your use of the Syndicate Bridge or uncontrollable risks that arise from performing transactions on a blockchain, which include, but are not limited to:

  1. You may fall victim to a phishing attack where your cryptocurrencies are sent to an unintended recipient;
  2. You may lose access to your Wallets as a result of (i) cyber-attacks; or (ii) malicious software used against Syndicate Bridge, OneLedger, or the blockchains it connects to;
  3. You may lose your cryptocurrencies as a result of unauthorized access by a third party through the use of your 24 Word Pass Phrase;
  4. You may lose access to your Wallet if you lose your private key (e.g. 24 Word Pass Phrase);
  5. You may lose access to the cryptocurrencies in your Wallet if a blockchain validator solely, or jointly with others gains control of a certain percentage of the validators on a blockchain;
  6. You may experience cryptocurrency transaction failures, errors, or delays due to errors resulting from validator nodes, hardware failure, software failure and/or internet connection issues;
  7. You may lose access to your cryptocurrencies as a result of an unknown vulnerability or unanticipated change to the connecting blockchain networks. This may include a full node or smart contract error occurring;
  8. you may lose access to your Wallet as a result of software errors, including, but not limited to corrupted files, incorrectly constructed transactions and/or unsafe libraries;
  9. you may lose access to your digit wallet if you reside in a jurisdiction that commences regulatory inquiries or regulatory actions that prohibits (a) the use of blockchains; or (b) the possession or distribution of cryptocurrencies;
  10. you may lose your Cryptocurrencies as a result of theft if the underlying cryptographic technologies of any of the Cryptocurrencies are breached.

    9. Security of Syndicate Bridge

To ensure reliability and to protect Syndicate Bridge and the Content, we use high grade hosting services and security technologies that we believe will provide you with a secure and safe environment when using Syndicate Bridge. However, no system is perfectly secure or reliable. The internet and decentralized applications are an inherently insecure medium, and the reliability of hosting services, validators, smart contracts, internet intermediaries, your internet service provider, and other service providers cannot be assured. When you use Syndicate Bridge, you accept these risks and the responsibility for choosing to use a technology that cannot guarantee complete security and reliability. You are solely responsible for evaluating any software or Content made available through Syndicate Bridge and the trustworthiness of any third-party websites, products, smart contracts, or Content you access or use through Syndicate Bridge

  1. Third Party Sites and Software

Accuracy of Information on Syndicate Bridge

Syndicate Bridge integrates with many third party data sources including blockchains that provide relevant data and information to the Application. Access to the data and continued interoperability between Syndicate Bridge and the third party data sources may be beyond OneLedger’s control. OneLedger disclaims all liability to you for any reliance on incorrect data or information.

Third Party Sites

Syndicate Bridge may contain links to third party domains, sites and DApps (“Third Party Sites”) and third party content (“Third Party Content”) as a service to those interested in this information. You use links to Third Party Sites and any Third Party Content provided there at your own risk. OneLedger does not monitor or have any control over and makes no claim or representation regarding, Third Party Sites or Third Party Content. OneLedger provides these links only as a convenience, and a link to a Third Party Site or Third Party Content does not imply OneLedger’s endorsement, adoption or sponsorship of, or affiliation with, such Third Party Site or Third Party Content. OneLedger accepts no responsibility for reviewing changes or updates to, or the quality, content, policies, nature or reliability of, Third Party Sites, Third Party Content, or domains linking to Syndicate Bridge. When you leave Syndicate Bridge, our terms and policies no longer govern. You should review applicable terms and policies, including, without limitation, privacy and data gathering practices, of any Third Party Site, and you should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.

Third Party and Open Source Software

Syndicate Bridge may contain and/or may connect to third party software and/or open source software, which may be subject to third party licenses and/or additional terms and conditions (“Third Party Licenses”). These Third-Party Licenses are made a part of and incorporated into these Terms. By accepting these Terms, you are also accepting the Third-Party Licenses, if any. Third Party Licenses may be viewed by contacting OneLedger at support@oneledger.io.

  1. Warranty Disclaimer

SYNDICATE BRIDGE AND THE CONTENT PROVIDED BY SYNDICATE BRIDGE ARE PROVIDED TO YOU ON AN “AS IS” BASIS WITHOUT WARRANTIES FROM ONELEDGER OF ANY KIND, EITHER EXPRESS OR IMPLIED. ONELEDGER EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. ONELEDGER DOES NOT REPRESENT OR WARRANT THAT CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, WITHOUT DISRUPTIONS, DELAYS, OR ERROR-FREE, AND EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION AS TO THE ACCURACY OR PROPRIETARY CHARACTER OF SYNDICATE BRIDGE, THE CONTENT OR ANY PORTION THEREOF.

WHILE ONELEDGER ATTEMPTS TO MAKE YOUR ACCESS TO AND USE OF SYNDICATE BRIDGE SAFE, ONELEDGER DOES NOT REPRESENT OR WARRANT THAT SYNDICATE BRIDGE OR ANY CONTENT ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

  1. Limitation of Liability; Indemnity

You waive and shall not assert any claims or allegations of any nature whatsoever against OneLedger, its affiliates or subsidiaries, their contractors, vendors or other partners, any of their successors or assigns, or any of their respective officers, directors, agents or employees (collectively, the “Released Parties”) arising out of or in any way relating to your use of Syndicate Bridge or the Content, including, without limitation, any claims or allegations relating to the alleged infringement of proprietary rights, alleged inaccuracy of Content, or allegations that any Released Party has or should indemnify, defend or hold harmless you or any third party from any claim or allegation arising from your use or other exploitation of Syndicate Bridge. You use Syndicate Bridge at your own risk.

Without limitation of the foregoing, neither OneLedger nor any other Released Party shall be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of Syndicate Bridge or the Content, including without limitation any damages caused by or resulting from your reliance on Syndicate Bridge or other information obtained from OneLedger or any other Released Party or accessible via Syndicate Bridge or that result from mistakes, errors, omissions, network interruptions, network outages, file corruption, service interruptions, deletion of data, defects, viruses, delays in operation or transmission or any failure of performance, whether or not resulting from acts of god, pandemics, communications failure, theft, destruction or unauthorized access to OneLedger, the Customer, any User, or any other Released Party’s records, programs or services.

In no event shall the aggregate liability of OneLedger, whether in contract, warranty, tort (including negligence, whether active, passive or imputed), product liability, strict liability or other theory, arising out of or relating to the use of Syndicate Bridge exceed any amount paid by you for access to Syndicate Bridge during the three months prior to the date of any claim, if any.

You shall defend, indemnify and hold harmless OneLedger and the other Released Parties from any loss, damages, liabilities, costs, expenses, claims and proceedings (including attorneys’ fees, court costs, damage awards and settlement amounts) arising out of your (a) use of Syndicate Bridge or the Content; (b) negligence, fraud, bad faith or willful misconduct; (c)  breach of any representation, warranty, or other provision of these Terms; (d) violation of the rights of any third party.

  1. Communications

Notices that we give you (other than notice of amendment of these Terms, which is discussed in the introduction of these Terms) may be provided on Syndicate Bridge. We will post them in an area of Syndicate Bridge suitable to the notice. It is your responsibility to periodically review Syndicate Bridge for notices.

Subject to the Privacy Policy, if you send to OneLedger any information, ideas, inventions, concepts, techniques or know-how (“User Submissions”), for any purpose, including the developing, manufacturing and/or marketing of products or services incorporating such information, you acknowledge that OneLedger can use the User Submissions without acknowledgement or compensation to you, and you waive any claim of ownership or compensation or other rights you may have in relation to the User Submissions.  We may review User Submissions for new ideas.  If you wish to preserve any interest you might have in your User Submissions, you should not send them to us.

  1. Applicable Law and Venue

Syndicate Bridge is controlled by OneLedger and operated by it from its offices in Barbados. You and OneLedger both benefit from establishing a predictable legal environment in regard to Syndicate Bridge. Therefore, you and OneLedger explicitly agree that all disputes, claims, or other matters arising from or relating to your use of Syndicate Bridge will be governed by the laws of Barbados applicable therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

In the event of any disputes, issues, controversies, and/or claims arising out of or in connection with these Terms, or in respect of any legal relationship associated with or derived from these Terms (“Disputes”), either party may initiate the process by sending a notice of a Dispute (a “Dispute Notice”) to the other party. Upon delivery of a Dispute Notice to either party, each party shall appoint a knowledgeable, responsible, non-lawyer, representative to meet and negotiate in good faith with the representative of the other party in order to resolve the Dispute.

All Disputes that are not resolved within thirty (30) days following delivery of a Dispute Notice shall be arbitrated and finally resolved, with no right of appeal, even on questions of law, the place of arbitration shall be in Barbados. The language of the arbitration shall be English.

Except where prohibited by applicable law, any Dispute (whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future) arising out of or relating to (a) these Terms; (b) Syndicate Bridge or Content; (c) oral or written statements, advertisements or promotions relating to these Terms or to Syndicate Bridge; or (d) the relationships that result from these Terms, Syndicate Bridge or Content (collectively, a “Claim”) will be referred to and determined by a sole arbitrator (to the exclusion of the courts). Except where prohibited by applicable law, you waive any right you may have to commence or participate in any class action against OneLedger related to any Claim and, where applicable, you also agree to opt out of any class proceedings against OneLedger. If you have a Claim, you should give written notice to arbitrate at the address specified below. If we have a Claim, we will give you notice to arbitrate at your address or contact information we have on file (if any). Arbitration will be conducted by one arbitrator pursuant to the commercial arbitration laws and rules in effect on the date of the notice in Barbados.

To the extent arbitration as described in the immediately preceding paragraph is prohibited by applicable law, you agree that all Claims will be heard and resolved in a court of competent jurisdiction located in Barbados. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.

If you choose to access Syndicate Bridge from locations other than Barbados, you will be responsible for compliance with all local laws of such other jurisdiction and you agree to indemnify OneLedger and the other Released Parties for your failure to comply with any such laws.

  1. Termination/Modification of License and Application Offerings

Notwithstanding any provision of these Terms, OneLedger reserves the right, in its sole discretion, without any notice or liability to you, to (a) terminate your license to use Syndicate Bridge, or any portion thereof; (b) block or prevent your future access to and use of all or any portion of Syndicate Bridge or Content; (c) change, suspend or discontinue any aspect of Syndicate Bridge or the Content; and (d) impose limits on Syndicate Bridge or Content.

Syndicate Bridge may not be available in all locations worldwide due to geo-blocking or other measures taken by OneLedger to ensure compliance with applicable law or to improve the quality of service for its Users.

  1. Termination of Agreement

OneLedger may terminate these Terms and your use of Syndicate Bridge at any time. If these Terms expire or terminate for any reason, the sections which by their nature are intended to survive, including, but not limited to Sections 5 (Proprietary Rights and Ownership), 8 (Blockchain and Cryptocurrency Risks) 11 (Warranty Disclaimer), 12 (Limitation of Liability; Indemnity), 13 (Communications), 14 (Applicable Law and Venue), 20 (Termination of Agreement) and 17 (Miscellaneous), and any representation or warranty you make in these Terms, shall also survive indefinitely.

  1. Miscellaneous

If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. OneLedger may assign any or all of its rights hereunder to any party without your consent.  You are not permitted to assign any of your rights or obligations hereunder without the prior written consent of OneLedger, and any such attempted assignment will be void and unenforceable. These Terms constitute the entire agreement between you and OneLedger regarding your use of Syndicate Bridge, and supersede all prior or contemporaneous communications whether electronic, oral or written between you and OneLedger regarding your use of Syndicate Bridge. The parties confirm that it is their wish that these Terms, as well as any other documents relating to these Terms, including notices, have been and shall be drawn up in the English language only. Les parties reconnaissent avoir convenue que la présente convention ainsi que tous documents, avis et procédures judiciaires qui pourront être exécutés, donnés ou intentées à la suite des présentes ou ayant un rapport, direct ou indirect, avec la présente convention soient rédigée en anglais.
